Transaction Advisory Services for Transmission Operator

The Development Bank of Southern Africa is inviting proposals from experienced transaction advisors to assist in the establishment of a fully independent Transmission System Operator (TSO) SOC Limited. This initiative is part of a broader reform of the electricity sector aimed at ensuring a reliable, affordable, and sustainable supply of electricity. Advisors will be responsible for providing comprehensive financial, legal, and tax advisory services, including the structuring of the transaction, lender engagement strategies, and drafting necessary documentation. The successful advisors will work closely with the National Treasury and other stakeholders to secure regulatory approvals and financing, ensuring that the TSO operates independently from Eskom and other market participants.

The scope of work includes reviewing existing proposals, advising on tax-efficient asset transfers, confirming the transaction perimeter, and preparing a transaction-level financial model. Advisors will also facilitate engagements with lenders, assist in securing necessary consents, and develop a detailed implementation plan for the legal separation of the NTCSA from Eskom.
