Overview

Summary

Eskom seeks proposals from credible financial institutions to monetise and recover outstanding municipal debt across selected municipalities, while protecting current account payments and Distribution Agency Agreement obligations. Bidders must show proven working capital structuring experience.

Detailed Description

Eskom Holdings SOC Ltd has issued a Request for Proposal (RFP) for Municipal Debt Receivables Monetisation and Recovery Solutions. Eskom holds substantial receivables owed mainly by its municipal customers and is seeking a credible institution, or consortium of institutions, to recover outstanding municipal debt. The scope may cover a single municipality, a cluster of municipalities, or a district, with the specific municipalities to be determined by Eskom after evaluation of proposals. The solution must ensure that municipalities continue to pay their current accounts and that the obligations under the Distribution Agency Agreement process are not compromised.

Successful bidders will be required to provide an overview and description of the proposed solution, an indicative term sheet with high-level terms and conditions, a breakdown of related costs and fees (including set-up and ongoing costs), an indicative execution timeline, evidence of comparable track record, and an analysis of how the solution will affect the municipalities' current payment obligations to Eskom and the Distribution Agency Agreement process. Technical evaluation is weighted across three areas: legal structure (40%), transaction readiness (40%), and credence of parties (20%). Bidders must score at least 70% on technical criteria to proceed. Qualifying bids are then ranked on a 90/10 price and B-BBEE preference point system under the PPPFA.

Mandatory submission requirements include a signed integrity declaration (Annexure A), a company profile and relevant experience, company registration documents, contactable references, evidence of registration with a recognised professional body, an original or certified B-BBEE verification certificate, an original or certified tax clearance certificate, audited financial statements for the previous 18 months (or the last year if unavailable), a CSD number, and VAT-inclusive pricing. The response must not exceed 30 pages in Arial 11 point. Submissions must be lodged electronically via the Eskom e-tendering portal (https://etendering.eskom.co.za) by 12:00 on 24 November 2026, as late submissions will not be accepted. Shortlisted bidders may be required to attend a one-hour clarification session, with 30 minutes for presentation and 30 minutes for questions. Queries must be submitted in writing by email to the named Eskom representatives no later than four working days before the submission deadline.

For eligible financial institutions, this opportunity offers the chance to deliver a significant municipal debt recovery mandate for a major state-owned utility. Bidders must demonstrate sound legal structuring, realistic transaction timelines, transparent cost structures, and a clear understanding of the Distribution Agency Agreement framework. Tenderers must also declare any conflicts of interest and disclose any Domestic Prominent Influential Persons (DPIPs) involved in their business, as required under FICA. Bidders are advised to review the full RFP document and the evaluation criteria in Annexure B before preparing their responses.

Suitable Businesses

This tender is suitable for recognised financial institutions, debt recovery and receivables management firms, and working capital providers with proven experience in structuring municipal debt or comparable receivables solutions. Consortia may apply. Applicants should hold a valid B-BBEE certificate, tax clearance, a CSD number, and audited financial statements, and should have a track record of executing transactions above ZAR100 million, as this improves technical scoring. Businesses with no municipal debt or receivables experience, or those on international sanctions lists, are not eligible. Bidders must also be prepared to meet the 30-page submission limit and the presentation requirement for shortlisted candidates.
